INITS Vertrag
INITS (interne Berater) und INITS Startup Projekte, sowie INITS externe Berater, Mentorinnen, Partnerinnen, Investorinnen, sowie VertreterInnen von Unternehmen, die durch Kooperationsverträge mit INITS verbunden sind, arbeiten in verschiedenen von der INITS angebotenen Programme (vor Ort, in der INITS Plattform) mit Kooperations- oder Investitionsinteresse zusammen (“Teilnehmerinnen”).
Nutzung der INITS Plattform
Zu diesem Zweck, werden Daten, Inhalte und Informationen, von INITS via der INITS Plattform, durch technische Funktionen der INITS Plattform, voreingestellt, beschränkt und passend je nach Rolle der TeilnehmerInnen, z.B. einsehbar, hoch-, herunterladbar, ausfüllbar, bearbeitbar, teil- und untereinander kommunizierbar, möglich gemacht.
- Verhaltensregeln
Für die Nutzung unseres Communitytools, das unter [https://app.inits.at/] angeboten wird, gelten folgende für die Nutzer des Communitytools (kurz: Nutzer) folgende Verhaltensregeln. Sollte der Nutzer die Spielregeln verletzen, kann der Community-Manager den Nutzer von der Nutzung ausschließen:
- Die Nutzer verpflichten sich respektvoll, konstruktiv und wertschätzend gegenüber anderen Nutzern zu verhalten.
- Der Nutzer hat den Anweisungen des Community-Managers Folge zu leisten und sich ihm gegenüber angemessen zu verhalten.
- Unterlagen, die der Nutzer im Rahmen der Nutzung des Communitytools erhält, sind urheberrechtlich geschützt und dürfen nicht vervielfältigt werden.
- Der Nutzer ist verpflichtet, technische Störungen oder Sicherheitsprobleme zu melden.
- Das bewusste Einbringen von Schadsoftware oder die Manipulation des Communitytools ist strengstens untersagt.
- Dem Nutzer ist es nicht gestattet, Veranstaltungen aufzuzeichnen (Bild, Video oder Ton) oder in Echtzeit zu übertragen.
- Dem Teilnehmenden ist es untersagt, Spam, Werbungen oder etwaige themenfremde Inhalte auf dem Communitytool zu verbreiten.
- Es gelten die Nutzungsbedingungen des Communitytools.
INITS Vertraulichkeit Vereinbarung
INITS (interne Berater) und INITS Startup Projekte, sowie INITS externe Berater, Mentorinnen, Partnerinnen, Investorinnen, sowie VertreterInnen von Unternehmen, die durch Kooperationsverträge mit INITS verbunden sind, arbeiten in verschiedenen von der INITS angebotenen Programme (vor Ort, in der INITS Plattform) mit Kooperations- oder Investitionsinteresse zusammen (“Teilnehmerinnen”).
Dabei müssen die einzelnen Teilnehmerinnen, untereinander auf die Verschwiegenheit vertrauen dürfen.
- Daher verpflichten sich alle Teilnehmerinnen im Rahmen und Teilnahme an INITS angebotenen Programme (vor Ort, in der INITS Plattform) und in weiterführenden Gesprächen, Treffen, Verhandlungen und Korrespondenzen jeder Art (im direkten Gespräch, telefonisch, elektronisch, in Papierform, etc.) in mündlicher, schriftlicher und elektronischer Form, die Daten, Informationen und Unterlagen der einzelnen Teilnehmerinnen, jeglicher Art, welche zur Kenntnis gelangen (wie z.b. projektspezifische Informationen, insbesondere technischer, forschungspolitischer und kaufmännischer Art), „vertrauliche Daten“, vertraulich und geheim zu behandeln und Dritten nicht zugänglich zu machen, sofern es sich um geheimhaltungspflichtige Informationen handelt. Im Zweifel sind Informationen in der Zusammenarbeit als geheimhaltungspflichtig zu behandeln.
- Die Teilnehmerinnen verpflichten sich ferner, aus der Kenntnis dessen, ohne extra Zustimmung untereinander, keinen wirtschaftlichen Nutzen, sowie keinerlei Aktivitäten zu setzen, die den wirtschaftlichen Erfolg der UrheberInnen gefährden könnte und ausschließlich für die Zwecke der gegenständlichen Zusammenarbeit zu verwenden.
- Sie geben Ihre ausdrückliche Zustimmung zur nicht-exklusiven Verwertung eingebrachter Inputs der Teilnehmerinnen untereinander, ohne, dass es einer weiteren Zustimmung oder einer entgeltlichen Abgeltung bedarff.
- Die Gültigkeit der Vertraulichkeitsvereinbarung ist auf 5 Jahre, ab Kenntniserlangung der jeweiligen „vertraulichen Daten“ durch die Teilnehmerinnen befristet, sofern diese nicht in weiteren Vereinbarungen ausdrücklich anders geregelt wird.
- Allfällige Ersatzansprüche nach dem ABGB oder dem Urheberrechtsgesetzbleiben durch diese Vereinbarung unberührt. Diese Vereinbarung unterliegt österreichischem Recht. Ausschließlicher Gerichtsstand ist Wien.

INITS Agreement
INITS (internal consultants) and INITS start-up projects, as well as INITS external consultants, mentors, partners, investors, and representatives of companies affiliated with INITS through cooperation agreements, work together in various programmes offered by INITS (on site, on the INITS platform) with an interest in cooperation or investment (‘participants’).
Use of the INITS platform
For this purpose, data, content and information from INITS via the INITS platform are preset, restricted and made available as appropriate depending on the role of the participants, e.g. viewable, uploadable, downloadable, fillable, editable, shareable and communicable with each other, through technical functions of the INITS platform.
– Rules of conduct
The following rules of conduct apply to users of our community tool (hereinafter referred to as ‘users’) when using our community tool, which is available at [https://app.inits.at/]. If a user violates the rules, the community manager may exclude the user from using the tool:
– Users undertake to behave respectfully, constructively and appreciatively towards other users.
– Users must follow the instructions of the community manager and behave appropriately towards them.
– Documents that users receive when using the community tool are protected by copyright and may not be reproduced.
– Users are obliged to report technical malfunctions or security issues.
– The deliberate introduction of malware or manipulation of the community tool is strictly prohibited.
– Users are not permitted to record events (image, video or sound) or broadcast them in real time.
– Participants are prohibited from distributing spam, advertisements or any off-topic content on the community tool.
– The terms of use of the community tool apply.
INITS Confidentiality Agreement
INITS (internal consultants) and INITS start-up projects, as well as INITS external consultants, mentors, partners, investors and representatives of companies affiliated with INITS through cooperation agreements, work together in various programmes offered by INITS (on site, on the INITS platform) with an interest in cooperation or investment (‘participants’).
In doing so, the individual participants must be able to trust each other to maintain confidentiality.
1. Therefore, all participants undertake, within the framework of and participation in INITS programmes (on site, on the INITS platform) and in further discussions, meetings, negotiations and correspondence of any kind (in direct conversation, by telephone, electronically, in paper form, etc.) in verbal, written and electronic form, to treat the data, information and documents of the individual participants, of any kind, which come to their knowledge (such as project-specific information, in particular of a technical, research policy and commercial nature), ‘confidential data’, and not to make it accessible to third parties, provided that it is information subject to confidentiality. In case of doubt, information in the cooperation shall be treated as subject to confidentiality.
2. The participants further undertake not to derive any economic benefit from this knowledge without mutual consent, nor to engage in any activities that could jeopardise the economic success of the authors, and to use it exclusively for the purposes of the cooperation in question.
3. They give their express consent to the non-exclusive use of inputs provided by the participants among themselves, without the need for further consent or remuneration.
4. The validity of the confidentiality agreement is limited to 5 years from the participants become aware of the respective ‘confidential data’, unless expressly agreed otherwise in further agreements.
5. Any claims for compensation under the Austrian Civil Code (ABGB) or the Copyright Act remain unaffected by this agreement. This agreement is subject to Austrian law. The exclusive place of jurisdiction is Vienna.
